Amphibious Boats Canada Ltd. (ABC) Terms, Conditions & Limited Warranty

It is understood and agreed by the customer/buyer that for this purpose and in the context of the following information Amphibious Boats Canada Ltd. are also known as the “seller”, the customer is also know as the “buyer”, the Sealegs Amphibious Boat, Motor & Options are also known as the “product”, Sealegs International is also known as the “OEM”

EXCLUSIVE TERMS: Buyers shall be subject to the terms and conditions set forth herein. No additions, deletions or modifications of these terms or any matter set forth hereof proposed by buyer will be accepted by the seller (ABC)

ORDERS: Any order for the purchase of a Sealegs Amphibious Boat, motor and options from Amphibious Boats Canada (aka, ABC) is considered binding once the order form is completed and signed by both buyer and seller. A down payment (aka, “security interest”) of not less than 50% of the order form “Grand Total” is required before buyers order is sent to the factory.

RETENTION OF TITLE AND SECURITY INTEREST: Until the purchase price for the Sealegs Amphibious Boat is paid in full, Amphibious Boats Canada shall retain all property in, ownership of and title to the boat, motor and all optional equipment (aka, “product”). The buyer hereby grants Amphibious Boats Canada full security interest in the “product” together with all proceeds there from as security for the performance and payment of the said purchase price. Any order that is canceled by the buyer during production of the “product”, delivery of the “product” or after consumer “cool down period” has expired will forfeit the down payment to Amphibious Boats Canada.

LIABILITY: In no event shall the “seller” have any liability for loss of profits, loss of business revenue, downtime or any other loss, expense or cost of any nature or kind incurred by the “buyer”. Nor shall the “seller” be liable for any indirect, special or consequential damages even if advised of the possibility thereof. The “seller” will not be liable for any breach of the terms of this agreement if due to any cause beyond its reasonable control, including without limitation, inability to obtain material or other supplies due to strikes, lockouts or other labor disputes by the OEM. The “seller” reserves the right in any such circumstance to terminate this agreement without incurring any liability whatsoever. On such termination the “buyer” shall remain liable for all payments then due and payable.

ORDER CHANGES: “seller” may accept “buyers” request to change order specifics of the “product”, but shall retain the right to charge “buyer” for all costs and services necessary for such changes.

WARRANTIES: “buyer” acknowledges that “seller” has not made and does not make any representations or warranties, whether express, implied, statutory or otherwise, except that the “product” supplied conforms to stated order and descriptions.  ABC warranty with respect to your Sealegs amphibious boat is limited to “point of delivery” with regard to boat physical condition. We will however where possible assist you in anyway possible as to obtaining any services required during and after your warranty coverage times.

INSURANCE: Amphibious Boats Canada maintains General Liability Insurance that provides coverage only to the “seller” with respect to “seller” boats and delivery, The “seller” general liability insurance does not in any form limited or otherwise cover the “buyer” or their “product
